1. INTRODUCTION
This document establishes and regulates the Terms and Conditions of access and use of the online store and website belonging to bioethic (hereinafter “bioethic”, "Vendor" / "us" / "our" and "this / our website"), trademark of GEOETHICOLLECTIVE, LDA., and you (User / Users).
These Terms enshrine the rights and obligations of all Users and of bioethic, regarding the goods and services made available on this website.
1.1 Acceptance of Terms and Conditions
Before you press the "CONFIRM ORDER" button at the end of the ordering operation, you should carefully read these Terms. If you do not agree with these Terms, in part or in whole, you must refrain from placing any order.
These Terms are subject to change, and you should read them before placing any order. By pressing the "CHECK OUT" button, you acknowledge that you have consulted and accepted these Terms.
1.2 Changing the Terms and Conditions
bioethic reserves the right at any time, without prior notice, and with immediate effect, to change, add, update and partially or totally, eliminate these Terms and Conditions. You should periodically check the page of these Terms to confirm that any updates or changes have been made. If you do not agree to any of these Terms, you should not use our website.

1.3 Access to the Website
The User can access our website as a visitor and view generic information such as: products available for ordering, our history and our partners. To order any of our products, the User does not need to register on our website.
A registration, however, consists on the creation of a personal account ("Your account"), which will identify you in our online store. In order to register you will be required to provide personal information, such as: name, email, telephone number, VAT number, delivery address and billing address, so that your order can be tracked and processed according to the Privacy of this website. The User is solely and exclusively responsible for the truthfulness, accuracy, timeliness and authenticity of the data, including personal data, provided as part of the registration in our online store, and must keep them permanently updated. The User must keep confidential the data of his personal account ("Your account") that allows him to access the store and should not divulge it to third parties or navigate in conditions that allow their decoding and copying by third parties. The User may, at any time, change the data of his/her personal account, in a reserved area in our website. Any access and use of our online store with your personal data is at your sole responsibility.
1.4 Retrieving Access Data
If you forget the access data to the store, through your personal account ("Your account"), you must request directly on the website the creation of a new password or contact bioethic at the e-mail info@bioethic.pt.
1.5 Cancellation of the Personal Account ("My Account")
The User's personal account may be canceled by bioethic in the following cases
Failure to comply with the rules applicable to the use of the Store (namely the Terms and Conditions and the Privacy Policy);
Or If you do not access your personal account for a period of 90 days or more.
We are not liable, directly or indirectly, for any damages resulting from the cancellation of your personal account. The User may also, at any time, request the cancellation of his personal account through the following e-mail address: info@bioethic.pt, this request having the same effects as the cancellation of the personal account by bioethic.
2. USE OF THIS WEBSITE
These Terms are the only conditions applicable to the use of this website and prevail over any other conditions, except in case of express agreement of bioethic, previously given in writing. These Terms are important to both parties as they are intended to protect the rights of the User as a customer, as well as our rights as a Vendor, and are designed to establish a legally valid agreement between the parties.
The User must use this website in a responsible, prudent and careful manner, and must not disturb or degrade the continuity, integrity and quality of its features and functionalities, nor interfere with the rights and possibilities of use by third parties. Whenever any functionality of this website allows interaction or addition of content and information, the User accepts not to make available or share any illegal, false, misleading, threatening, malicious, abusive, defamatory, invasive of privacy, racial, ethical or morally reprehensible, harmful or detrimental to the dignity of any person or harmful to minors.
The User has no rights of use over the contents of our website and is expressly prohibited from making available or transmitting through it any type of material that contains viruses, files or programs that may interrupt, destroy or limit the functionality of any computer equipment or system or communications equipment. The User shall not transmit or exploit information about other users for unauthorized purposes.
By placing an order on our website, you confirm that you have read these Terms, which you accept without any reservation. You will be required to provide a correct and complete e-mail address, postal address, or other contact information, and agree that bioethic may contact you using such data if necessary. If you do not provide bioethic with all the necessary information, it may not be possible to complete your order. When you place an order through our website, you declare that you are over 18 years of age.
3. PRODUCT AVAILABILITY
Items for sale on our website are subject to existing stock and the orders will be processed on a first-come, first-served basis. In the event of a temporary or permanent stock breach, the User will be duly notified and an alternative to the intended product will be suggested. The User is entitled to accept or not the suggested alternative.
4. CREATION OF THE CONTRACT
No contract shall be established between bioethic and the User without the order being accepted by the first (regardless of whether a charge has been made to the User's bank account). If the order is not accepted after a debit takes place in the account of the User, the amount will be fully refunded.
To place an order you must follow the process for the online purchase and press the "PLACE ORDER" button.
You will then receive an email confirming that your order has been received by bioethic (the "Order confirmation"). You should note that this does not mean that your order has been accepted. The order is only a proposal to purchase one or more of our products. Any order is subject to acceptance by the bioethic, which will always be confirmed by sending an email notifying the shipment of the product (s) - Order concluded. The contract of sale between bioethic and the User Contract will only be formalized with the communication "ORDER CONCLUDED", through email, and will only concern the products mentioned in this same Confirmation.
5. DELIVERIES
Being that the products ordered are available (see clause 3, above), bioethic will do its best to ensure that, except in exceptional circumstances, the products mentioned in an order confirmation (Order confirmation) are delivered to the User on the time periods indicated below.
The delivery time will be taken into account after the delivery confirmation is sent or "Order concluded".
Approximate delivery periods:
The User must have in mind that no deliveries are done on Saturdays or Sundays and that the same is done through private shipping company.
For the purposes of these Terms, a "delivery" is deemed to be made or a product is deemed to be "delivered" with the signature of the delivery receipt, at the address indicated by the User at the time of the online purchase.
All orders must be examined by the User upon reception. Upon delivery, in the event of any anomaly or damage being detected, the User may refuse the order, in this case without opening it.

6. FREE RESOLUTION BY THE USER
The User may exercise the right of withdrawal freely, within a period of 15 days from the date of the delivery of the products. In this case, the User will be reimbursed for the entire amount paid for the products, as provided in the Return Conditions (see clause 9 below, how to return the products).
The right to terminate the Contract will only occur if the products are returned in the same state in which they were received by the User, and within the period established for returns and refunds (15 days from the date of the delivery). The products shall be returned with respective documents and packaging materials. Any damaged product that is not in the same condition as it was received by the User or which has signs of use other than simply opening the respective packaging will not be refunded.
7. PRICE AND PAYMENT
Except in case of obvious error, the price of the products will be what is indicated in our website. If we find that the price of a product in an order is wrong, we will inform the User as soon as possible, giving you the choice between reconfirming the order at the correct price or cancelling it.
bioethic shall have no obligation to supply any product at an incorrect (if inferior) price, even if an Order Confirmation – Order confirmation - has been issued, and/or if the error is notorious and should have been identified by the User in reasonable circumstances.
The prices indicated on this website are in € (euros) and include the applicable taxes and charges, including VAT at the legal rates in use. These prices do not contain the shipping costs, which will be added to the products price, once the order is confirmed by the User in our online store. The shipping costs indicated on our website already include the legal taxes in use.
We reserve the right to refuse orders of great size or value. All prices and quantities available are subject to change at any time, but no change will affect orders for which an Order Confirmation - Order concluded - has already been issued.
When the User completes the shopping, all products that he/she wishes to buy will be inserted in the shopping cart. The next step will be the process of registering the personal data and making the payment.
Alternatively, if a user registration was made previously on our website, through the creation of a personal account - "Your account", The User must access his/her private area before making the payment or when making the payment, just before proceeding to the exit.
You can pay by bank transfer or by Paypal. If you select the payment through bank transfer, there will be a 48 hours period to do it. If the transfer is not done within this period, the order will be canceled. If you choose to make payment through PayPal, the amount will be debited immediately.
Credit cards are subject to verification of validation and authorization by the issuing entities, but if the card issuer does not authorize the payment, bioethic will not be liable for any delay or non-delivery and may not conclude the contract with the User.
The indicated payment options belong to third parties so, the use of these, presumes the knowledge and acceptance of the Terms and Conditions of those services, and bioethic does not have any intervention or responsibility in it.
8. VALUE ADDED TAX (VAT)
In accordance with the rules and regulations in use, purchases made through this website are, where applicable, subject to Value Added Tax (VAT).
Sales prices to the public, whether for an individual customer or a company, include where applicable Value Added Tax (VAT).
9. RETURN CONDITIONS
Any product purchased through our website www.bioethic.pt may be exchanged or refunded, within a maximum of 15 days, and for this, the User must contact us by email info@bioethic.pt, requesting the exchange or return of the article. You must indicate the order number, the item you wish to exchange or return and the reason for the exchange or return. The article must be placed in its original packaging, without any signs of use and sent to the following address:

The item must be returned with all original cartons, documents and packaging materials. bioethic will inspect the product and reserves the right to withhold the refund until this inspection is completed. Any product that has been damaged, is not under the same conditions as the User has received, or that shows signs of use beyond the simple opening of the packaging, does not grant the right to a refund. The refund will be made through transfer to an account defined by the User Paypal or bank account, without undue delay and, in any case, within 30 days from the date of completion of the inspection and confirmation of the refund via email.
The costs of sending the items back to bioethic, will be borne by the User and added, after presenting proof of the same, to the reimbursement to be made. The sending of articles for exchange or return must be done by registered mail so that the delivery of the merchandise is guaranteed.
Exchanges are subject to the availability of the existing stock. An unsuccessful exchange request automatically generates a refund and consequent credit. In the event that this situation occurs, bioethic will notify the User within a maximum of one week.

9.1 Return by withdrawalThe User has 15 days after the date of products delivery to return them, without any justification being required (except in the case of products made according to specification, customized or acquired for professional purposes).
9.2 Return of defective productsIf the User understands that the product supplied on delivery is not in accordance with the provisions of the Contract, should promptly contact bioethic via email to info@bioethic.pt, informing of the status of the product and its defects.bioethic will inspect the returned product and inform the User of the right to its replacement or refund (if applicable) via email within a reasonable time.
As a rule, bioethic, reimburses or substitutes any product within 30 days from the date of confirmation by email that the User is entitled to the refund or substitution of the defective product. Products returned by the User due to defects, if confirmed, will be refunded for the entire amount paid, including delivery costs and return charges. If there is no anomaly, the product will be returned to the User, and the shipping costs will be borne by the User.
9.3 RefundA refund will take place as soon as possible (within 30 days from the date of confirmation by email that the User is entitled to the refund) and will always be done through transfer to bank account or to Paypal account. These provisions do not prejudice any rights of the User, which result directly from the law.
10. PRIVACY POLICY AND COOKIES POLICY
bioethic respects the User's privacy. All information collected on our website will be kept confidential and will not be sold, supplied or reused by third parties without your authorization. Any information that is provided to us will be treated with care and used solely for the purpose of executing your order and improving your experience on our website. - See full Privacy Policy and Cookies Policy.
11. RESPONSIBILITY AND EXCLUSIONS
bioethic's liability for any product acquired through this website is limited to its purchase price.
To the maximum extent permitted by law, and except as otherwise provided in these Terms, bioethic rejects any liability for any indirect loss or damage that results from the consequential effect of the major loss or damage, whether arising out of the commission of unlawful acts, contractual or non-contractual basis, including mere negligence.
The User acknowledges that the use of the website www.bioethic.pt is at his/her own risk and that he/she is solely responsible for any damage caused to his/her system and / or computer equipment or for other damages or losses, including loss or damage of data, resulting from the use of the materials, content or information obtained, in any way, through this website. The qualities, functionalities or characteristics of the products, services, information or other materials or contents posted on the website are not guaranteed by bioethic. bioethic shall not be liable for errors that may occur due to system irregularities, failures (temporary or permanent) of the website, its applications or other tools.
12. COMPLAINTS AND EXTRAJUDICIAL DISPUTE (SETTLEMENT MECHANISMS)
Complaints related to the process of ordering and / or deliveries of the goods carried out through our website must be made within 15 days of the delivery of the order to the User and should be sent to the following email: info@bioethic.pt. In the event of a consumer dispute, the User may use the European Online Dispute Resolution Platform, available at: http: //ec.europa.eu, or the Alternative Dispute Resolution entities.
13. INTELLECTUAL PROPERTY RIGHTS
The User acknowledges and accepts that all copyrights of bioethic (registered trademark) or respective to other trademarks and other intellectual property rights, related to all material and contents that are part of this website, remain always in the ownership of bioethic or its licensors. The User acknowledges that bioethic structure, layout, selection, organization and presentation of its content, including the features and software used in it, as well as the trademarks, logos and symbols presented, are property of bioethic and have been duly licensed or authorized to use it. Any reproduction, representation, use, adaptation, modification, incorporation, translation, distribution, commercialization, partial or integral, whatever the procedure or any means that may be (paper, digital ...), of our website contents without prior written authorization by bioethic is subject to legal and economic penalties under the Portuguese law.
14. WRITTEN COMMUNICATIONS
The applicable law requires that some of the information or communications that bioethic sends to User takes the written form. By making use of this website, the User accepts that the communication between him and bioethic will be done mainly electronically, although bioethic is authorized to communicate with the User either by email or by post to the address specified for the order.
For contractual purposes, the User accepts the communications to be done electronically and acknowledges that any contracts, notices, information and other communications transmitted electronically by bioethic satisfy the legal requirement that such communications should be done in writing. This provision is without prejudice to any rights of the User, arising directly from the law. Any communication will be considered received 24 hours after the sending of an email, or on the third day after the date of its sending by post. To prove that a communication has been sent, if it is a postal mail, it is sufficient to prove that the respective letter was addressed correctly, sealed and delivered in the mail and, in the case of sending by email, that the same email was sent to the address specified by the User.
15. TRANSMISSION OF RIGHTS AND OBLIGATIONS
The Contract between bioethic and the User binds the parties and their respective assignees.
You may not transfer, assign or encumber your contractual position, or otherwise dispose of the Contract, or any rights or obligations thereunder, without the prior written consent of bioethic.
bioethic may transfer, assign or encumber its contractual position, sub-contract or otherwise dispose of the Contract or any rights or obligations arising from there at any time during its term. Nevertheless, no transfer, assignment or encumbrance of such position or act of contract provision may have the effect of limiting the legal rights of the User as a consumer or reduce it or otherwise limit any guarantee provided by bioethic to the User either express or implied.
16. EVENTS BEYOND BIOETHIC´S CONTROL
bioethic shall not be liable for non-performance, or delay in performance, of any obligation under the Contract that is due to an event beyond its reasonable control ("Force Majeure Event").
A Force Majeure Event comprises any event, act or omission beyond bioethic's reasonable control, such as: Labour strikes; natural disasters; lack of public or private means of transport.
17. INVALIDITY
The declaration of invalidity, illegality or ineffectiveness by any competent authority of any provision of these Terms and Conditions shall not affect any of the remaining provisions, which shall continue in full force and effect.
18. INTEGRAL AGREEMENT
These Terms and any document referred to it constitute the entire agreement between the parties (bioethic and Users) relating to the formation of a Contract and prevail over any prior agreement, understanding or combination, in written or oral form.
19. AMENDMENT OF TERMS AND CONDITIONS BY BIOETHIC
bioethic has the right to change these Terms and Conditions at any time. The User is subject to the principles and terms in force at the time of ordering, unless the law or competent authority impose any changes (then, such changes will apply as well to orders already made).
20. APPLICABLE LAW AND FORUM
The use of our website and the purchase agreements made through it are governed by Portuguese law. Any dispute that arises or is related to the use of our website or with such contracts will be submitted to the non-exclusive jurisdiction of the Portuguese courts.
If the customer is contracting as a consumer, nothing in this clause will affect the rights that the current legislation recognizes as such.
21. WEBSITE OPERABILITY
bioethic may suspend, block, interrupt or cease access to its website, for all or only one or more Users, when necessary due to technical, legal, security, maintenance, alteration or updating of any functionality of the Website. bioethic also has the exclusive right, at all times, to terminate, definitively or temporarily, partially or totally, at any time, according to its will, its online store or any of its features without prior notice.
22. LINKS
bioethic may provide links to pages belonging to other entities. These websites do not belong to or are operated or controlled by us, for we are not responsible, approve or subscribe the content of these websites. The establishment of links does not imply, in any case, the existence of relations between bioethic and the owner or manager of the web page to which the link refers. The use of these links is of the sole responsibility of the User.
23. SECURITY
bioethic does not guarantee that its website will run uninterrupted, be free of error or faults, or that it will be available on a continuous basis. To ensure the security of its website, bioethic may, at any time and without prior notice, take the necessary steps to ensure the integrity, security, continuity or quality of your website, including restrictions or limitations of access.
